1. Introduction

Welcome to Greenset ("we," "us," "our"). These Terms of Service ("Terms") govern your use of our platform and services. By accessing or using Greenset, you agree to be bound by these Terms.

2. The Service

Greenset provides a software platform that helps businesses manage and optimize their advertising campaigns on third-party platforms, including but not limited to Whop Ads. Our service includes account management, campaign creation, performance tracking, and optimization tools.

3. Account Provisioning

Through Greenset, we facilitate the creation of advertising accounts on partner platforms (currently Whop). You understand that:

• The advertising account is owned and operated by the partner platform (e.g., Whop), not Greenset
• You are directly responsible for all ad spend charged to your payment method by the partner platform
• Greenset acts as an intermediary and does not handle your ad spend funds

4. Fees and Billing

Greenset Platform: Currently free to use. We reserve the right to introduce pricing plans at our discretion with reasonable notice.

Ad Spend: All advertising costs are billed directly by the partner platform (Whop) to your payment method. Greenset does not charge for ad spend and does not receive a portion of your advertising budget.

5. Your Responsibilities

You agree to:

• Provide accurate information during account setup, including your business details and website URL
• Ensure your advertising creatives and landing pages comply with applicable laws and the partner platform's policies
• Maintain a valid payment method with the partner platform for ad spend
• Monitor your campaigns and adjust budgets as needed

6. No Guarantees

While we strive to optimize your advertising performance, Greenset does not guarantee:

• Specific clearance rates for your ads
• Particular return on ad spend (ROAS) or conversion rates
• That your ads will remain cleared indefinitely on partner platforms
• Uninterrupted service availability

7. Intellectual Property

Greenset owns all rights to the platform, including software, trademarks, and trade secrets. You retain ownership of your advertising creatives, content, and data. By using Greenset, you grant us a license to use your content as necessary to provide the service.

8. Third-Party Services

Our service integrates with third-party platforms including Whop, Meta (Facebook), and Cloudflare. Your use of these services is subject to their respective terms. Greenset is not responsible for changes to third-party terms or service disruptions.

9. Limitation of Liability

To the maximum extent permitted by law, Greenset's total liability for any claims arising from these Terms or our service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim. Since our platform is currently free, this effectively limits liability for platform use.

10. Termination

We may suspend or terminate your access to Greenset at our sole discretion, with or without cause. Upon termination, your right to use the platform will cease immediately.

11. Governing Law

These Terms shall be governed by the laws of the State of Florida, without regard to conflict of law principles.

12. Changes to Terms

We may update these Terms at any time. Continued use of Greenset after changes constitutes acceptance of the new Terms.
